Terms of Service

The terms for building partnerships, sharing your work, and using SocialCall.

01Using SocialCall

These Terms of Service govern your use of the SocialCall website at socialcall.io and SocialCall applications and services that link to these Terms (together, the “Service”). “SocialCall,” “we,” and “us” refer to the operator of the Service. You can contact us at michael@michaelgeddis.com.

By agreeing to these Terms or using the Service, you agree to them. If you use SocialCall for a restaurant, brand, or other organization, you confirm that you are authorized to act for that organization. You must be at least 18 years old and legally able to enter into an agreement to use the Service.

Our Privacy Policy explains how we handle personal information. Additional terms shown for a specific transaction or feature apply to that transaction or feature. A separate agreement signed with SocialCall takes precedence over these Terms to the extent of a conflict.

02Accounts and workspaces

Provide accurate account and business information, keep your credentials confidential, and notify us promptly of suspected unauthorized access. You are responsible for activity you authorize and for assigning appropriate access to your workspace. Do not share an account to bypass individual access controls.

Workspace owners and authorized administrators can manage their organization’s locations, members, permissions, and business records. A personal or creator account does not give you access to another organization’s private information. You must have permission to represent each restaurant or brand you add.

03Pilot availability

SocialCall is an early-stage platform. Access may be by invitation, and features may be incomplete, changed, or temporarily unavailable. A demo, sample record, estimate, or preview is not a real reservation, sale, payout, social connection, or advertisement.

A feature that depends on a third-party service becomes available only after the necessary integration, permissions, and provider approval are in place. We do not promise that every feature shown in a demonstration is enabled in your workspace. Keep independent copies of important business records and original content.

04Creator collaborations

Restaurants, brands, and creators are responsible for agreeing on a collaboration’s deliverables, timing, compensation, cancellation rules, disclosures, and content rights. Review the actual brief and agreement before accepting. SocialCall provides tools to record and manage these arrangements; unless a separate agreement says otherwise, SocialCall is not a party to the collaboration and does not employ the creator.

Each party must have authority to make the commitments it accepts. An introduction, saved creator, submitted brief, or content view does not by itself form a contract or grant content rights. Changes to agreed work, usage rights, or compensation require the affected parties’ agreement.

Creators and brands must make required sponsorship, gifted-product, and affiliate disclosures and follow applicable advertising rules and platform policies. Do not submit misleading reviews, fabricated engagement, or false performance claims.

05Content and permissions

You retain ownership of content you upload or publish. You give SocialCall a nonexclusive, worldwide, royalty-free license to host, store, reproduce, transcode, and display that content as needed to operate the Service and carry out the sharing choices and collaborations you authorize. This includes using service providers for those purposes. It does not give us ownership of your content or general permission to sell it.

You are responsible for obtaining the rights and permissions needed for your uploads, including music, images, trademarks, and identifiable people. Publicly published material can be viewed and shared by others. Private drafts and collaboration materials are available according to the Service’s permissions and the people you authorize.

A restaurant or brand may reuse creator content only within the rights actually granted by that creator or another rights holder. A post’s popularity, an affiliate relationship, or approval of a deliverable does not automatically authorize paid advertising, editing, or use on additional channels.

The operating license ends when the content is deleted from the Service, except while necessary for backups, legal obligations, dispute records, and uses or rights you separately authorized. Deletion does not revoke rights you already granted to another party under a collaboration agreement.

06Social and advertising integrations

You may connect a supported social, advertising, or booking account only if you own it or have permission to manage it. The provider’s authorization screen describes the access requested. Connecting an account does not authorize every possible action on that account.

Publishing content, creating or running advertisements, changing ad spend, or using a creator’s content in Spark Ads or another advertising format requires the appropriate permissions and a separate authorized action. You remain responsible for the content rights, account permissions, budgets, and provider charges you approve.

Third-party services have their own terms, availability, review processes, and data practices. SocialCall is not endorsed by TikTok, Meta, or a booking provider merely because an integration is offered or being developed. You can disconnect available integrations through the Service or revoke access with the provider. Revocation may prevent related features from working.

07Passes, payments, and earnings

Where enabled, offers, passes, and reservations are subject to the price, eligible location, expiry, redemption, cancellation, and refund terms presented for the specific transaction. Restaurants are responsible for accurately describing and honoring their offers and providing their restaurant services. A request is not a confirmed reservation until the applicable confirmation is issued.

Affiliate commissions and creator earnings depend on the agreement and the eligible transactions recorded under it. Pending, estimated, attributed, or demo amounts are not guaranteed earnings or money available to withdraw. Cancellations, refunds, disputes, fraud checks, and the agreed eligibility rules may change an amount before or after settlement.

Live payments and payouts require an enabled payment provider and any required account verification. Provider terms and clearly disclosed fees apply. You are responsible for taxes and business obligations that apply to your transactions. SocialCall will not start a paid subscription or ad campaign solely because you create or connect an account.

Contact the restaurant or relevant counterparty about fulfillment or collaboration issues, and contact SocialCall for help with platform records or access. These Terms do not remove any refund, cancellation, or other rights you have under applicable law.

08Performance and attribution

SocialCall may display views, engagement, attributed orders, covers, revenue, and other measurements from available records or connected providers. Metrics can be delayed, incomplete, corrected, or affected by attribution windows, permissions, and provider limitations. Attributed revenue is not proof of incremental revenue caused by a campaign.

We do not guarantee reach, bookings, sales, a creator’s performance, or a financial return. Use the source, measurement period, and status shown alongside a metric when evaluating it.

09Acceptable use

Use SocialCall lawfully and respect other people’s rights. You must not:

  • Impersonate a person or business, misrepresent a relationship, or access an account or workspace without permission.
  • Upload unlawful, infringing, deceptive, abusive, or malicious material; harass people; or send unsolicited or prohibited messages.
  • Bypass access controls, scrape private information, misuse API credentials, interfere with the Service, or attempt to exploit it.
  • Manipulate reviews, attribution, redemptions, payments, or engagement, or use information from SocialCall for an unauthorized purpose.

Report suspected infringement or misuse to michael@michaelgeddis.com with enough information to identify the content or issue and your authority to report it.

10Suspension and closing an account

You may stop using SocialCall at any time and request account closure through available account controls or by contacting us. Closing your account does not automatically cancel a restaurant reservation, extinguish an existing payment obligation, or terminate a separate collaboration agreement.

We may restrict content or access when reasonably necessary to address a breach of these Terms, fraud, a security risk, a legal requirement, or disruption to the Service. When reasonably possible, we will explain the action and provide an opportunity to resolve the issue. We may act without advance notice when doing so is necessary to protect people, data, or the Service.

Our Privacy Policy explains retention and deletion. Provisions that by their nature apply after account closure, such as outstanding obligations and previously granted rights, continue to apply.

11Availability and responsibility

To the extent permitted by law, the Service is provided “as is” and “as available,” without a promise that it will be uninterrupted, error-free, or suitable for every purpose. We do not control the independent conduct of restaurants, creators, customers, or third-party providers.

To the extent permitted by law, SocialCall is not liable for indirect or consequential losses, including lost profits or business opportunities, arising from use of or inability to use the Service. This does not exclude liability for fraud, willful misconduct, gross negligence, or any responsibility that applicable law does not allow us to exclude. Nothing in these Terms limits nonwaivable consumer or privacy rights.

If an issue arises, contact us so we can try to resolve it. These Terms do not require arbitration or prevent you from using any court, regulator, or other remedy available under applicable law.

12Changes and contact

We may update these Terms as SocialCall develops. We will publish the effective date and provide notice of material changes through the Service or another appropriate channel. Where required, we will ask for agreement before a change takes effect. Changes do not retroactively alter an accepted collaboration or completed transaction without the necessary agreement.
